Description:

The Senior Legal Counsel provides advice on complex legal matters involving various aspects of the business of the Company, its subsidiaries and affiliates in Canada (the "Standard Life Group"), acting autonomously, and, as determined by the Associate General Counsel , may focus on the provision of legal services to particular lines of business.

  • Provide legal services in respect of matters pertaining to securities and insurance regulations, including with respect to the development of investment funds,
  • Review and/or draft various documents including offering documents, simplified prospectuses, information folders, regulatory applications and filings in support of the creation of various families of mutual funds and individual segregated funds,
  • Reviews and/or prepares other complex legal documents, including contracts related to the Standard Life Group business, as needed,
  • Provides legal advice and training with regards to various complex legal issues related to investment products, including marketing materials and practices.
  • Ensures that the lines of business for which the Senior Legal Counsel is responsible operate within the limits prescribed by the law and ensures that such lines conduct their business in an ethical manner.
  • Acts as corporate secretary and/or director, as needed.
  • Monitors relevant legislative and regulatory developments, relevant jurisprudence and IFIC and CLHIA initiatives and communiqués and advises appropriate departments and other Department members.
  • Provides research services, as required.
  • Provides staff-training with regards to legal issues, as required.
  • Assists the Standard Life Group in the identification, implementation and maintenance of controls to mitigate financial and operational risks. Ensures compliance with regulatory requirements and internal policies.
  • Facilitates communication between the Standard Life Group and applicable regulatory bodies and industry task force committees.

REQUIREMENTS

  • Common or Civil Law degree and a member of a provincial Bar, with a minimum of eight (8) years of relevant legal experience gained at a major law firm, financial services company or securities regulatory authority.
  • Experience in securities and insurance law particularly in relation to mutual funds and/or individual segregated funds.
  • Good securities and insurance industry acumen.
  • Relational ability.
  • Highly organized and autonomous.
  • Ability to work in a fast-paced environment and under tight timelines.
  • Excellent drafting skills and good communication skills in French & English ( excellent written English).
