Description:

The Deputy Secretary is required to provide legal advice and services, under the supervision of the Senior Vice-President Legal and Compliance in respect of  activities carried on by The Standard Life Assurance Company of Canada and its subsidiaries and affiliates in Canada ( “Standard Life”) so as to protect the interests and reputation of Standard Life, to ensure that Standard Life operates within the limits prescribed by the law and to ensure that Standard Life conducts its business in an ethical manner. 

  • Reviews and/or prepares legal documents on matters related to the business of Standard Life for which the Deputy Secretary has responsibility, including meeting minutes, board and committee papers, action item lists and terms of reference.
  • Provides legal advice and training on various legal issues related to the work for which the Deputy Secretary has responsibility.
  • Ensures that the work for which the Deputy Secretary has responsibility is accomplished within applicable legislative and regulatory requirements, both federally and provincially, as well as internal corporate policy requirements.
  • Ensures that Legal Policies are established, maintained, communicated and their compliance monitored on a regular basis.
  • Acts as Secretary of the Executive Committee and, at the direction of the Senior Vice-President, acts as the secretary and/or director of certain other companies, committees or forums within Standard Life.
  • Attends to the filing of reports and returns required at various levels of government on behalf of Standard Life.
  • Keeps abreast of legislative and case law developments as well as CLHIA initiatives and communiqués, attends relevant internal and external committees, and advises other members of the Division and appropriate company functions on these trends and their impact.
  • Performs special projects as required by the Senior Vice-President Legal and Compliance.
  • Organizes and directs legal activities on the part of the Secretarial function for which the Deputy Secretary has responsibility including monitoring the work of any others who may report to or support this position.
  • Manages colleagues' development including evaluating performance and assigning work.
  • Provides research services as required, including research on trends in governance best practices.
  • Facilitates communication between Standard Life and applicable regulatory bodies and industry task force committees.

REQUIREMENTS

  • Common or Civil Law degree and a member of a provincial Bar.
  • More than 15 years experience in a senior legal capacity.
  • Knowledge of the products and services of the Standard Life Group.
  • Knowledge of Microsoft Office applications.
  • Knowledge of corporate policies and procedures.
  • Bilingual, English and French, written and spoken.
  • Verbal communications skills.
